TERMS & CONDITIONS
1. OVERVIEW
Welcome to The Edits Co (“we”, “us”, “our”).
The Edits Co is the parent brand operating the following sub-brands:

The Invite Edits – bespoke and semi-custom wedding and event stationery; and
-
The Curated Edits Co – personalised gifts, favours, keepsakes and event accessories.
Together, these brands operate through this website, associated online storefronts, social media platforms, email communications, consultations and other services (collectively, the Services).
These Terms & Conditions (“Terms”) govern your access to and use of our Services and your purchase of products or services from The Edits Co, The Invite Edits and The Curated Edits Co.
Our online store is hosted by Shopify, which provides the e-commerce platform through which we offer certain products and Services.
By accessing our Services, placing an order, paying a deposit or otherwise engaging us to provide products or services, you agree to these Terms and our Privacy Policy [LINK].
If you do not agree with these Terms, you should not use our Services or place an order with us.
Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law (ACL).
2. ACCESS & ELIGIBILITY
By using our Services or placing an order, you confirm that you are at least 18 years old or have the consent of a parent or legal guardian.
You agree to provide accurate, current and complete information when placing an order, including your contact, billing, delivery, event and personalisation information.
You are responsible for maintaining the confidentiality of any account credentials and for activity occurring through your account.
3. PRODUCTS & SERVICES
3.1 Product Nature
Our products include custom, personalised, semi-custom and made-to-order stationery, favours, gifts, keepsakes and event accessories.
Due to the custom nature of our work, individual products may vary slightly depending on materials, manufacturing processes and production methods.
Product images, samples, mock-ups and digital proofs are intended to provide a reasonable representation of the finished product. Minor variations may occur as described within these Terms.
3.2 Custom & Personalised Products
Many products supplied by The Invite Edits and The Curated Edits Co are created specifically for an individual client and cannot reasonably be resold once personalised.
Once custom design work, material ordering or production has commenced, cancellation, amendment or change-of-mind requests may be limited and charges may apply for work already performed or costs already incurred.
Nothing in this provision affects any rights available under Australian Consumer Law.
4. DESIGN PROOFS, REVISIONS & FINAL APPROVAL
4.1 Proofing
Where applicable, clients will receive a digital proof of their custom or personalised design before printing or production.
Digital proofs are provided for the purpose of reviewing the design and confirming all personalised information.
4.2 Client Responsibility
It is the client's responsibility to carefully and thoroughly review the entire final proof before providing approval.
This includes, but is not limited to:

Names and spelling;
-
Grammar and punctuation;
-
Dates and times;
-
Addresses and venue information;
-
Phone numbers and contact details;
-
Website addresses and QR codes;
-
Guest names and personalised information;
-
Wording and information included or omitted;
-
Quantities and specifications;
-
Sizes and dimensions;
-
Fonts, colours and design elements;
-
Layout, positioning and formatting; and
-
Any other information appearing within the design.
4.3 Final Approval
By providing final approval, the client confirms that they have reviewed the design in its entirety and authorises The Edits Co to proceed with printing or production.
Once final approval has been provided, the design is considered final.
The Edits Co and its associated brands will not accept responsibility for spelling errors, grammatical errors, incorrect information, omissions or design elements that were present in the client-approved proof.
If an error contained within an approved design is discovered after production has commenced or been completed, the client may request a corrected reprint.
Any reprint required due to an error contained within a client-approved design will be at the client's full cost, including applicable design, setup, material, printing, finishing, production and delivery charges.
Where an error is introduced by The Edits Co after final approval, or the finished product materially differs from the approved final proof, we will assess the matter and provide an appropriate remedy in accordance with Australian Consumer Law.
4.4 Revisions
The number of revisions included may vary depending on the product, service or package purchased.
Minor revisions may be included during the design process. Substantial changes to an agreed design direction, repeated revisions, or requests for an entirely new concept may incur additional design fees.
Any applicable additional charges will be communicated before further work proceeds.
5. CLIENT-SUPPLIED INFORMATION, ARTWORK & CONTENT
Clients are responsible for providing complete and accurate information required to fulfil their order.
Where clients provide logos, photographs, illustrations, artwork, fonts or other content, the client confirms that they have the necessary rights or permission to reproduce that material.
The Edits Co is not responsible for limitations in finished quality caused by low-resolution, incorrectly formatted or unsuitable client-supplied artwork where those limitations were disclosed or reasonably apparent.
Clients must not provide material that infringes another person's intellectual property rights.
6. INSPIRATION & REFERENCE DESIGNS
Clients may provide photographs, screenshots, Pinterest images, social media posts or other designs as references or inspiration.
Such material is used to understand the client's preferred aesthetic and does not constitute an agreement to reproduce another designer's work exactly.
The Edits Co may adapt or reinterpret reference material to maintain originality, comply with intellectual property obligations and accommodate our available materials and production methods.
7. CLIENT DELAYS & COMMUNICATION
Production schedules rely on clients providing required information, feedback, payments and approvals within requested timeframes.
Delays in supplying guest lists, wording, artwork, quantities, feedback, approval or payment may result in the estimated completion date being extended.
Where a client delay affects our original production schedule, we cannot guarantee that the original completion, dispatch or delivery date will remain available.
If expedited production becomes necessary because of client delays, additional rush fees may apply.
8. TURNAROUND & PRODUCTION TIMES
Any turnaround, completion, dispatch or delivery date provided by The Edits Co is an estimate unless expressly confirmed otherwise in writing.
Production may be affected by order volume, supplier availability, material shortages, equipment issues, public holidays, courier disruptions and other circumstances outside our reasonable control.
Clients are responsible for ordering sufficiently in advance of their event date.
We will take reasonable steps to meet communicated timeframes but cannot guarantee the performance of third-party postal or courier providers.
9. RUSH ORDERS
Rush production may be offered at our discretion and is subject to production capacity and material availability.
Additional rush fees may apply.
Acceptance of a rush order requires the client to provide all required information, feedback, payment and approvals promptly.
Where expedited work has commenced, a rush fee will generally not be refundable for change of mind, except where otherwise required by law.
10. COLOUR VARIATIONS
Colours displayed on digital proofs, computers, phones and other screens may vary from the finished physical product.
Colour reproduction may also vary depending on cardstock, paper texture, ink, printing processes, foil, vinyl, ribbon, acrylic and other materials.
Accordingly, an exact colour match between a digital representation and finished product cannot always be guaranteed.
Where an exact or specific colour match is important, clients should advise us before final approval. Physical samples or colour testing may be available and may incur additional charges.
Reasonable colour variations inherent to the relevant material or production method do not, by themselves, constitute a product fault.
11. MATERIAL & HANDMADE VARIATIONS
Our products may incorporate specialty, handmade or naturally variable materials, including textured cardstock, handmade paper, ribbon, wax seals, foil, acrylic, timber, fabric and other decorative materials.
Minor variations in colour, texture, thickness, grain, shape, positioning and finish may occur between products and production batches.
Such reasonable variations are inherent to these materials and production processes and are not considered defects where the finished product remains substantially consistent with the approved design and product description.
12. PRINTING & PRODUCTION TOLERANCES
Our products may involve specialist processes including digital printing, letterpress, foil printing, embossing, debossing, die-cutting, scoring, folding, trimming, engraving, vinyl application and other finishing techniques.
These processes can result in minor variations in positioning, impression, registration, trimming, alignment or finish between individual pieces.
Reasonable manufacturing tolerances inherent to the relevant production process are not considered defects.
Where a variation materially affects the appearance, quality or intended function of a product beyond what could reasonably be expected, clients should contact us so the matter can be assessed.
13. QUANTITIES & ADDITIONAL ORDERS
Clients are responsible for confirming their required quantities before production.
We recommend ordering additional stationery or products to account for guest changes, late additions, loss or damage.
Additional quantities requested after the original production run may be treated as a new order and may be subject to minimum quantities, setup costs, production charges and current pricing.
We cannot guarantee an exact colour, stock, material or finish match between separate production runs.
14. PRICING, DEPOSITS & PAYMENT
All prices are displayed in Australian Dollars (AUD) unless otherwise stated.
Prices may change without notice. Changes will not affect an order already accepted at an agreed price unless the client subsequently requests changes to that order.
Unless otherwise agreed, custom orders require a 50% deposit before design work, sourcing or production commences.
The remaining balance must be paid by the date specified by The Edits Co and, where applicable, before final production, dispatch or collection.
Once custom design work, material sourcing or production has commenced, amounts paid may become non-refundable to the extent they reasonably reflect work already performed, personalised materials purchased and other costs incurred.
Production may be paused where required payments have not been received.
Shipping, rush production, specialised materials, additional revisions and other optional services may incur additional charges.
15. ORDERS & ACCEPTANCE
Submitting an order constitutes an offer to purchase products or Services from The Edits Co.
An order is accepted when we confirm acceptance and any required initial payment has been successfully received.
We may reasonably decline or cancel an order where, for example:

A product or material is unavailable;
-
An obvious pricing or listing error has occurred;
-
We are unable to fulfil the requested timeframe;
-
Fraudulent or unauthorised activity is suspected;
-
The requested design may infringe intellectual property rights; or
-
We otherwise cannot reasonably provide the requested product or service.
Where we cancel an accepted order for reasons unrelated to a client's breach or change of mind, amounts paid for products or services not supplied will be dealt with appropriately and subject to Australian Consumer Law.
16. CANCELLATIONS & CHANGE OF MIND
Due to the personalised and made-to-order nature of many of our products, cancellations and change-of-mind refunds may not be available after custom design work, material ordering or production has commenced.
Where cancellation is requested, we may deduct or retain reasonable amounts representing design work already performed, personalised materials ordered, supplier charges and other non-recoverable costs already incurred.
Once personalised products have been produced, they generally cannot be returned for change of mind.
This section does not affect any rights or remedies available under Australian Consumer Law.
17. SHIPPING & DELIVERY
Delivery timeframes are estimates and may be affected by postal services, couriers and circumstances outside our reasonable control.
Clients are responsible for supplying complete and accurate delivery information.
If an order is returned because of incorrect information supplied by the client, failure to collect or another delivery issue attributable to the recipient, reasonable redelivery charges may apply.
Clients should inspect delivered orders as soon as reasonably practicable.
If an order appears to have been damaged during transit, please contact us promptly and provide photographs of the products, packaging and shipping label to assist with investigation.
Nothing in this section limits your rights under Australian Consumer Law.
18. COLLECTION ORDERS
Orders selected for collection should not be considered ready until confirmation has been provided by The Edits Co.
Clients are responsible for collecting orders within the communicated timeframe.
Clients should inspect their order following collection and contact us promptly if they identify any concerns.
Where an order remains uncollected for an extended period, reasonable storage arrangements or charges may apply where appropriate and after notice has been provided.
19. RETURNS, FAULTS & REFUNDS
Our returns and refunds are also governed by our Refund Policy.
Change-of-mind returns are generally not available for:

Custom products;
-
Personalised products;
-
Made-to-order products; or
-
Proof-approved stationery.
If you believe your product is faulty, damaged, incorrect or materially different from the approved design, please contact us as soon as reasonably practicable.
We may request photographs, video, packaging, order information and other reasonable evidence required to assess the issue.
Please retain affected products until the matter has been assessed.
Nothing in these Terms excludes or restricts any consumer guarantee or remedy available under Australian Consumer Law.
20. ALTERATIONS & THIRD-PARTY HANDLING
The Edits Co is not responsible for damage or defects caused after delivery or collection by subsequent alterations, misuse, inappropriate storage or work performed by the client or another supplier.
This may include cutting, trimming, gluing, vinyl application, heat application, engraving, assembly, dismantling or other modification.
This provision applies only to the extent the issue was caused by the subsequent handling or alteration and does not exclude responsibility for an existing fault in the original product.
21. FOOD, CHOCOLATES & CONSUMABLE PRODUCTS
Where products contain chocolates, confectionery or other consumable items, clients are responsible for following any storage, handling, best-before and consumption information supplied with the products.
Products should be protected from excessive heat, direct sunlight, moisture and unsuitable storage conditions.
Clients are responsible for considering the allergies and dietary requirements of their guests.
Ingredient and allergen information supplied by the relevant manufacturer should be reviewed before consumption.
Clients should advise us before ordering where specific dietary or allergen requirements apply.
We are not responsible for deterioration caused by inappropriate storage or handling after delivery or collection.
22. INTELLECTUAL PROPERTY & DESIGN FILES
Unless otherwise agreed in writing, original designs, concepts, layouts, illustrations, monograms, artwork, templates and other creative material produced by The Edits Co remain our intellectual property to the extent permitted by law.
Purchasing a finished product does not automatically transfer ownership of editable files, working files, templates, source artwork or production-ready files.
Clients receive the physical products and digital files expressly included in their purchase.
Editable or production-ready files may be licensed or supplied separately at our discretion and may incur additional charges.
You must not reproduce, distribute, sell, commercially exploit or provide our designs to another supplier for reproduction without our prior written permission.
23. PHOTOGRAPHY, PORTFOLIO & SOCIAL MEDIA
We may photograph completed products and use those photographs to showcase our work through our website, social media, portfolio, advertising and promotional material.
Where reasonably practicable, we will avoid unnecessarily publishing sensitive personal information.
If an order must remain confidential until a particular event or date, the client should notify us in writing before completion of the order.
Any confidentiality or publication embargo expressly agreed between us and the client will be respected.
24. FEEDBACK, REVIEWS & TESTIMONIALS
Where you voluntarily provide a review, testimonial, photograph or feedback to us, you grant The Edits Co permission to reproduce and display that content for reasonable business and promotional purposes, subject to applicable law.
We may edit testimonials for formatting or length provided we do not materially misrepresent their meaning.
25. OPTIONAL TOOLS & THIRD-PARTY SERVICES
Our Services may contain links to or integrations with third-party websites, payment providers, booking systems, social platforms and other services.
Third-party services are subject to their own terms and privacy practices.
To the extent permitted by law, we are not responsible for third-party services that we do not operate or control.
26. SHOPIFY
Our online store is powered by Shopify.
Shopify provides the e-commerce technology used to facilitate our online store; however, products and services purchased from our store are supplied by The Edits Co.
Your use of certain Shopify functionality may also be subject to Shopify's applicable terms and policies.
27. ERRORS & OMISSIONS
We may correct errors, inaccuracies or omissions relating to our website, product descriptions, pricing or Services.
Where an obvious error affects an order, we will contact the client where reasonably necessary and determine an appropriate resolution.
For custom, personalised and proof-approved products, responsibility for reviewing personalised information is governed by Section 4 – Design Proofs, Revisions & Final Approval.
28. CLIENT CONDUCT & RIGHT TO REFUSE SERVICE
We expect all communication between clients, our team and associated suppliers to remain respectful and professional.
We may refuse new work, suspend work or end a client relationship where a client engages in threatening, abusive, discriminatory, harassing or otherwise seriously inappropriate conduct toward us, our staff or suppliers.
We may also take reasonable action where a client repeatedly makes demands materially outside the agreed scope of work or intentionally misuses our Services.
Where an existing order is ended under this section, amounts paid and any refund due will be assessed having regard to work already performed, personalised materials ordered, costs incurred and any rights available under Australian Consumer Law.
29. PROHIBITED USE
You must not use our Services:

For unlawful or fraudulent purposes;

To infringe another person's intellectual property;

To transmit malicious software;
-
To interfere with the operation or security of our website;
-
To provide intentionally false or misleading information; or
-
In any manner prohibited by applicable law.
We may restrict access to our Services where these Terms are materially breached.
30. EVENTS OUTSIDE OUR REASONABLE CONTROL
We are not responsible for delay or failure to perform an obligation to the extent caused by circumstances outside our reasonable control.
This may include severe weather, natural disasters, fire, flood, power or internet outages, significant equipment failure, supplier disruption, material shortages, industrial action, transport disruption, courier delays, government restrictions or similar unforeseen circumstances.
Where such an event occurs, we will take reasonable steps to minimise disruption and communicate material delays where practicable.
Nothing in this section excludes liability that cannot legally be excluded.
31. DISCLAIMER
To the extent permitted by law, information and Services made available through our website are provided on an “as available” basis.
We do not guarantee that our website will always operate uninterrupted or error-free.
Nothing in this section excludes warranties, consumer guarantees or other rights that cannot lawfully be excluded.
32. LIMITATION OF LIABILITY
To the maximum extent permitted by law, The Edits Co will not be liable for indirect or consequential loss arising from the use of our Services or products where such liability may lawfully be excluded.
Nothing in these Terms excludes, restricts or modifies liability or consumer rights that cannot legally be excluded, restricted or modified.
Any limitation of liability contained in these Terms applies only to the extent permitted by applicable law, including Australian Consumer Law.
33. INDEMNITY
To the extent permitted by law, you agree to indemnify The Edits Co against losses, liabilities or claims reasonably arising from your unlawful misuse of our Services, your material breach of these Terms or material supplied by you that infringes a third party's rights.
34. AUSTRALIAN CONSUMER LAW
Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
Where Australian Consumer Law applies, our goods and services come with consumer guarantees that cannot be excluded.
Where a product or service fails to comply with an applicable consumer guarantee, you may be entitled to a repair, replacement, refund, re-supply, cancellation or other remedy depending on the nature and circumstances of the failure.
All provisions relating to custom products, proof approval, cancellations, variations, refunds and liability operate subject to these statutory rights.
35. PRIVACY
Your personal information will be handled in accordance with our Privacy Policy [LINK] and applicable privacy laws.
By using our Services, you acknowledge that certain information may need to be provided to payment processors, delivery providers and other service providers where reasonably necessary to fulfil your order.
36. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be severed or limited to the minimum extent necessary without affecting the remaining provisions.
37. ENTIRE AGREEMENT
These Terms, together with any applicable quote, invoice, approved proof, product-specific terms, Refund Policy and Privacy Policy, form the agreement between you and The Edits Co in relation to the relevant Services.
Where specific written terms are agreed for a custom order, those terms will apply to that order to the extent of any inconsistency with these general Terms.
38. ASSIGNMENT
You may not transfer or assign your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations as part of a legitimate sale, restructure or transfer of our business, subject to applicable law.
39. GOVERNING LAW
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the jurisdiction of the courts and tribunals of Victoria and any courts entitled to hear appeals from them, subject to any rights a consumer may have under applicable law.
40. CHANGES TO THESE TERMS
We may update these Terms from time to time.
The current version will be published on our website together with the date it was last updated.
Changes will generally apply prospectively and will not retrospectively alter the agreed terms of an existing order unless required by law or agreed with the client.
